By accessing and using IndieClue (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

IndieClue is a SaaS platform that provides SEO optimization and analytics tools specifically designed for brands selling on the Faire wholesale marketplace. Our services include:

  • Keyword research and similar term discovery
  • Reverse keyword lookup for product listings
  • AI-powered listing optimization
  • Business analytics dashboard for sales performance
  • Integration with Faire API for analytics features

3. Account Requirements

To use IndieClue, you must:

  • Be at least 18 years old or have parental consent
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept our Privacy Policy and data processing terms
  • Optionally connect your Faire seller account for analytics features

4. Subscription Plans and Billing

Free Trial

We offer a 7-day free trial with no credit card required. Trial limitations apply as outlined in your account dashboard.

Paid Subscriptions

Monthly subscriptions are billed in advance on a recurring basis. Prices are as displayed on our pricing page and may change with 30 days' notice.

Payment Processing

All payments are processed securely through Stripe. You authorize us to charge your selected payment method for all fees incurred.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial periods.

  • Faire API: For accessing your wholesale business data (only when you choose to connect)

We carefully select service providers that meet our security and privacy standards. Service availability depends on these third-party providers.

7. Usage Limitations and Restrictions

You agree not to:

  • Exceed the usage limits of your subscription plan
  • Share your account credentials with others
  • Use the service for illegal or unauthorized purposes
  • Attempt to reverse engineer, scrape, or extract data from our services
  • Use automated tools, bots, or scripts to access our services
  • Resell, redistribute, or provide our reverse keyword lookup services to third parties unless explicitly permitted
  • Resell, redistribute, or provide our AI optimization services to other customers or brands unless explicitly permitted
  • Use our services to create competing products or services
  • Interfere with or disrupt our servers or networks
  • Use our services to generate harmful or inappropriate content
  • Violate any applicable laws or regulations

8. Intellectual Property

The Service and its original content, features, and functionality are owned by IndieClue and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your business data. By using our service, you grant us a license to process and analyze your data to provide our services.

9. Service Availability

We strive to maintain high service availability but cannot guarantee 100% uptime. Service interruptions may occur due to:

  • Scheduled maintenance and updates
  • Third-party service dependencies
  • Technical issues beyond our control
  • Force majeure events

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our recommendations or analytics will improve your business performance or that our service will be error-free or uninterrupted.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INDIECLUE BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

Our total liability for any claims shall not exceed the amount you paid for the service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless IndieClue from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any rights of another.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users or our business.

Upon termination, your right to use the service will cease immediately. We may delete your account and data after a reasonable retention period.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through our service. Continued use of the service after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where IndieClue is incorporated, without regard to its conflict of law provisions.
